1. Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of these Terms and Conditions:

• Application means the software program provided by the Company downloaded by you on any electronic device, named YouSquared.
• Application Store means the digital distribution service operated and developed by Apple Inc. (Apple App Store) or Google Inc. (Google Play Store) in which the Application has been downloaded.
• Affiliate means an entity that controls, is controlled by, or is under common control with a party, where control means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
• Account means a unique account created for you to access our Service or parts of our Service.
• Country refers to: New York, United States.
• Company (referred to as the Company, We, Us, or Our in this Agreement) refers to Strange Attractor Technologies Inc.
• Device means any device that can access the Service such as a computer, a cellphone, or a digital tablet.
• Feedback means feedback, innovations, or suggestions sent by you regarding the attributes, performance, or features of our Service.
• Service refers to the Application.
• You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

2. Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between you and Strange Attractor Technologies Inc. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions then you may not access the Service. You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service. Your access to and use of the Service is also conditioned on your acceptance of and compliance with the Privacy Policy of the Company.

3. Intellectual Property

All content, features, and functionality of the app, including but not limited to text, graphics, logos, software, audio, and visual elements (collectively referred to as Content), are the exclusive property of Strange Attractor Technologies Inc. or its licensors and are protected by applicable intellectual property laws. You do not acquire any ownership rights by using the app.

The Service is protected by copyright, trademark, and other laws of both the Country and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

4. User Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a Third-Party Social Media Service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use the app for any illegal or unauthorized purpose, and your use of the app will not violate any applicable law or regulation.

5. Fair Use Policy

Plans with Unlimited AI communication volume are subject to fair use. Fair use means call volumes consistent with normal human usage patterns for the applicable plan tier: 1 user for Solo plans, up to 5 users for Starter plans, and up to 20 users for Growth plans. SAT reserves the right to review accounts with usage patterns significantly exceeding these thresholds and may, at its discretion, request an upgrade to an appropriate plan tier or limit Service access.

6. Team Plans

SAT targets 99.5% monthly service availability. Enterprise plans may include additional service level commitments as set forth in a separate Service Level Agreement. The Team Growth plan includes 2 hours per month of configuration support. Additional support is billed separately.

7. User-Generated Content and Feedback

You assign all rights, title, and interest in any Feedback you provide the Company. If for any reason such assignment is ineffective, you agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback without restriction.

8. Security and Compliance

We implement industry-standard encryption and security measures to protect user data. Our service complies with applicable regulations. However, users must ensure that their use of the service aligns with any industry-specific compliance requirements.

9. Limitations and Liabilities

SAT provides communication technology services only. Customer is solely responsible for compliance with all laws, regulations, and industry standards applicable to Customer's business. SAT does not provide legal, medical, financial, or other professional advice.

While we strive to provide a seamless experience, users may encounter technical issues related to compatibility, network connectivity, or hardware limitations. We disclaim liability for service interruptions, poor audio quality, or any loss of data due to technical constraints beyond our control. By using our platform, users acknowledge these limitations and agree to use the service at their own risk.

10. Recording User Conversations

By using our service, you acknowledge and agree to the following regarding the recording of user conversations:

• Consent Requirement: we may record conversations if all parties involved provide explicit consent. It is your responsibility to ensure that you have obtained the necessary consent from all participants before initiating a conversation that may be recorded.
• Purpose of Recording: recorded conversations may be used to improve the quality and accuracy of our technology, to monitor compliance with our terms of service and applicable laws, and to provide customer support and resolve issues.
• Data Handling: any recorded conversations will be handled in accordance with our Privacy Policy. We will take appropriate measures to protect your data and ensure it is not accessed or used for unauthorized purposes.
• User Rights: you retain the right to request the deletion of your recorded conversations in accordance with our data retention policy.
• Prohibition of Unauthorized Use: users are prohibited from recording conversations without proper consent or using recorded conversations for any unlawful or unethical purposes.

11. Prohibited Activities

By using our service, you agree not to engage in any of the following prohibited activities:

• Impersonation: using the app to create voice clones intended to impersonate or deceive individuals, including public figures, without their explicit consent.
• Malicious Use: using the technology for any malicious purposes, including harassment, threats, or any form of intimidation.
• Fraudulent Activities: any use of the app for fraudulent activities, including financial fraud, healthcare fraud, scams, or identity theft.
• Copyright Infringement: creating voice clones of copyrighted materials or individuals without proper authorization.
• Distribution of Harmful Content: creating or distributing content intended to promote hate speech, violence, or any illegal activities.
• Manipulation of Media: using the app to create deepfake content or manipulate audio in a way that could mislead or cause harm to others.
• Violation of Privacy: cloning voices of individuals without their consent, especially in contexts that could infringe on their privacy or personal rights.
• Circumventing Security Measures: attempting to access or use the app in a manner that violates or bypasses any security measures or restrictions.
• Excessive Load: generating an excessive number of requests that may impact the performance of the app or the services provided.

Any violation of these prohibited activities may result in immediate termination of your access to the app and possible legal action.

12. Permitted Use

You agree to use the service solely for lawful, ethical, and professional purposes. The service must not be used to:

• Harass, threaten, or mislead individuals.
• Send unsolicited marketing (robocalls) or conduct telemarketing campaigns without appropriate consents and compliance with applicable laws (such as TCPA, GDPR, CAN-SPAM).
• Misrepresent your identity or affiliation.
• Contact emergency services or impersonate emergency responders.
• Contact numbers listed on Do Not Call registries unless explicit consent has been obtained.

13. User Responsibility and Compliance

You are solely responsible for ensuring that outbound calls are compliant with all applicable laws, regulations, and industry standards in your jurisdiction and that of the recipient; for obtaining all necessary legal consents, including those required for call recording or AI interaction disclosures; and for respecting local, national, and international privacy and telecommunications laws, including consumer protection regulations.

We may request proof of compliance at any time. Failure to provide satisfactory proof within five (5) business days of our request may result in immediate suspension or termination of your access to the outbound calling feature, at our sole discretion.

14. Disclaimer and Limitation of Liability

You shall indemnify and hold harmless SAT from any claims, damages, or expenses arising from your business operations or use of the Service.

Notwithstanding any damages that you might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you through the Service or 100 USD if you have not purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever, even if the Company or any supplier has been advised of the possibility of such damages.

15. Termination

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, you may simply discontinue using the Service.

16. Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and your use of the Service. Your use of the Application may also be subject to other local, state, national, or international laws.

17. Changes to These Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
